Terms of Service

These Terms of Service ("Agreement") are entered into between Contextary, Inc. ("Contextary," "we," "our," or "us") and the entity or individual ("Customer," "you," or "your") accessing or using the Contextary platform. By accessing or using the Service, you agree to be bound by this Agreement. If you are entering into this Agreement on behalf of an organization, you represent and warrant that you have authority to bind that organization.

1. Services

1.1 Description

Contextary is a warehouse-native knowledge base that enables teams to document what their data means — business rules, metric definitions, gotchas, relationships — and serves that context to AI assistants via the Model Context Protocol (MCP) for accurate query generation and data analysis (the "Service").

1.2 Ordering and subscriptions

Access to the Service is granted through account registration. Each subscription is governed by the terms of this Agreement and any applicable order form or plan selection.

1.3 Access grant

Subject to the terms of this Agreement, Contextary grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service solely for your internal business purposes during the applicable subscription term.

1.4 User management

You are responsible for managing access to your account, including creating and removing user accounts, assigning roles and permissions, and ensuring that all users comply with this Agreement.

1.5 Restrictions

You shall not: (a) sublicense, sell, resell, or distribute the Service; (b) use the Service to provide a competing product or service; (c) allow access to the Service by any third party other than authorized users; or (d) use the Service in violation of applicable law.

2. Support

Contextary will use commercially reasonable efforts to provide technical support for the Service. Support is provided via email and through our documentation. We do not guarantee specific response times for free-tier customers but aim to respond to all inquiries within a reasonable timeframe. Paid plans may include enhanced support terms as specified in the applicable order form.

3. Data

3.1 Customer data

"Customer Data" means all data, content, and information submitted to the Service by you or on your behalf, including annotations, metric definitions, business rules, warehouse connection credentials, and schema metadata. We process Customer Data solely to provide and improve the Service in accordance with our Privacy Policy.

3.2 AI-generated output

AI-generated SQL queries and analysis may be inaccurate. Output generated by AI features is provided for informational purposes and must be independently verified by the user before reliance. Contextary provides data context to improve AI accuracy but does not guarantee the correctness, completeness, or suitability of any AI-generated output. You are solely responsible for reviewing and validating all AI-generated queries before executing them against production data.

3.3 Third-party integrations

The Service integrates with third-party AI providers (Anthropic, OpenAI, Google) and data warehouse providers using API keys and credentials that you provide. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

3.4 Service suspension

We reserve the right to suspend your access to the Service if we reasonably believe that your use violates this Agreement, poses a security risk, or may result in liability to us or to other customers. We will provide notice before suspension when commercially practicable.

4. Fees and payment

4.1 Free tier

Contextary currently offers a free tier with full access to the Service. We reserve the right to modify the scope of the free tier at any time with reasonable notice.

4.2 Paid plans

When paid plans become available, fees will be as specified in the applicable plan description or order form. Fees are non-refundable except as expressly stated in this Agreement or required by law.

4.3 Late payments

Overdue amounts may accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. We may suspend access to the Service for accounts with overdue payments exceeding 30 days.

4.4 Taxes

All fees are exclusive of taxes, levies, and duties. You are responsible for all applicable taxes, except for taxes based on Contextary's net income.

5. Warranties and disclaimers

5.1 Limited warranty

Contextary warrants that the Service will perform materially as described in our documentation during your subscription term. If the Service fails to meet this warranty, your exclusive remedy is for us to use commercially reasonable efforts to correct the non-conformity or, if we cannot do so within 30 days, to terminate your subscription and provide a pro-rata refund of prepaid fees.

5.2 Disclaimers

EXCEPT AS EXPRESSLY PROVIDED IN SECTION 5.1, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

AI output accuracy disclaimer: AI-generated SQL queries and data analysis may produce inaccurate, incomplete, or misleading results. The accuracy of output depends on the quality of your annotations, the capabilities of the AI provider, and the complexity of the query. You must independently verify all AI-generated output before making business decisions based on it. Contextary expressly disclaims any warranty regarding the accuracy of AI-generated content.

6. Term and termination

6.1 Subscription term

This Agreement commences when you first access the Service and continues for the duration of your subscription term. Paid subscriptions automatically renew for successive periods of equal length unless either party provides written notice of non-renewal at least 30 days before the end of the then-current term.

6.2 Termination for breach

Either party may terminate this Agreement if the other party materially breaches this Agreement and fails to cure such breach within 30 days after receiving written notice specifying the breach.

6.3 Effect of termination

Upon termination: (a) your right to access the Service immediately ceases; (b) you may export your Customer Data (annotations, metrics, and context definitions via YAML export) for up to 30 days following termination; (c) after the 30-day export period, we will delete your Customer Data in accordance with our Privacy Policy.

6.4 Survival

Sections relating to intellectual property, limitation of liability, indemnification, confidentiality, and governing law survive termination of this Agreement.

7. Intellectual property

7.1 Contextary IP

Contextary and its licensors own all right, title, and interest in and to the Service, including all software, documentation, designs, algorithms, and related intellectual property. Nothing in this Agreement transfers ownership of Contextary's intellectual property to you. All rights not expressly granted herein are reserved.

7.2 Customer content

You retain all ownership rights in your Customer Data, including annotations, metric definitions, business rules, and other content you create within the Service. We claim no intellectual property rights over your Customer Data.

7.3 License to Contextary

You grant Contextary a limited, non-exclusive, worldwide license to use, process, store, and transmit your Customer Data solely for the purpose of providing and improving the Service. This license terminates when you delete your Customer Data or your account.

7.4 Feedback

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant Contextary an irrevocable, perpetual, royalty-free license to use, modify, and incorporate such Feedback into the Service without obligation to you.

8. Limitation of liability

8.1 Exclusion of consequential damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, PROFITS, OR BUSINESS INTERRUPTION, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2 Liability cap

EXCEPT FOR EXCLUDED CLAIMS (DEFINED BELOW), EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO CONTEXTARY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100) FOR FREE-TIER CUSTOMERS, WHICHEVER IS GREATER.

8.3 Excluded claims

The limitations in Sections 8.1 and 8.2 do not apply to: (a) either party's indemnification obligations; (b) either party's breach of confidentiality obligations; (c) your breach of Section 11 (Acceptable Use); or (d) either party's willful misconduct or fraud.

9. Indemnification

9.1 By Contextary

Contextary will defend, indemnify, and hold you harmless from any third-party claim alleging that the Service, as provided by us, infringes a third party's intellectual property rights, and will pay any resulting damages or settlement amounts, provided you give us prompt notice, reasonable cooperation, and sole control of the defense.

9.2 By Customer

You will defend, indemnify, and hold Contextary harmless from any third-party claim arising from: (a) your Customer Data; (b) your use of the Service in violation of this Agreement; or (c) your violation of applicable law, and will pay any resulting damages or settlement amounts, provided we give you prompt notice, reasonable cooperation, and sole control of the defense.

10. Confidentiality

"Confidential Information" means all non-public information disclosed by one party to the other in connection with this Agreement, including business plans, technical data, product roadmaps, Customer Data, and the terms of this Agreement. Each party agrees to: (a) use the other party's Confidential Information only to exercise its rights and perform its obligations under this Agreement; and (b) protect such information using at least the same degree of care it uses for its own confidential information, but no less than reasonable care.

Exclusions

Confidential Information does not include information that: (a) is or becomes publicly available without breach of this Agreement; (b) was known to the receiving party before disclosure; (c) is independently developed without use of the disclosing party's Confidential Information; or (d) is rightfully received from a third party without restriction.

11. Acceptable use

You agree not to:

  • Access, query, or manipulate data you do not have authorization to access
  • Attempt to access data belonging to other tenants or organizations
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service
  • Circumvent or disable any security features, authentication mechanisms, or access controls
  • Abuse API rate limits or interfere with the Service's infrastructure or availability
  • Use the Service in violation of applicable export control, sanctions, or trade compliance laws
  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation

12. Governing law

This Agreement is governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

Any disputes arising from this Agreement or your use of the Service shall be resolved exclusively in the state or federal courts located in San Francisco County, California. Each party consents to the exclusive jurisdiction and venue of such courts.

13. General terms

Assignment

Neither party may assign this Agreement without the other party's prior written consent, except that either party may assign this Agreement in connection with a merger, acquisition, or sale of all or substantially all of its assets.

Notices

Notices under this Agreement must be in writing and sent to the email addresses associated with the respective accounts. Notices to Contextary should be sent to legal@contextary.ai.

Entire agreement

This Agreement, together with the Privacy Policy and any applicable order forms, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, and communications.

Amendments

We may update this Agreement from time to time. For material changes, we will provide at least 30 days' notice. Your continued use of the Service after changes become effective constitutes acceptance of the updated terms.

Force majeure

Neither party is liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including natural disasters, acts of war or terrorism, epidemics, government actions, or internet or utility failures.

Severability

If any provision of this Agreement is held to be unenforceable, the remaining provisions continue in full force and effect, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.
